A RESOLUTION

APPROVING AND AUTHORIZING AN AGREEMENT BETWEEN THE CITY OF LAKEWOOD AND PIPER JAFFRAY & CO. TO PROVIDE FINANCIAL ADVISORY SERVICES FOR THE CITY OF LAKEWOOD

WHEREAS, the City has issued Request for Proposals 2568 for financial advisory services in connection with the possible refinancing of Certificates of Participation and the possible undertaking of other financings; and

WHEREAS, Piper Jaffray & Co. possesses the experience and capability in the financial advisory services profession that is advantageous to the City;

NOW THEREFORE BE IT RESOLVED by the City Council of the City of Lakewood, Colorado that:

SECTION 1. The proposal of Piper Jaffray & CO. to provide financial advisory services as described in the Request for Proposal 2568 is hereby accepted according to the specifications as set forth in said Request for Proposal.

SECTION 2. The City Manager is authorized to sign, and the City Clerk to attest, a financial advisory services one-year agreement, with the option to renew for four years, and such other related documents with Piper Jaffray & Co. in form approved by the City Attorney. The City may terminate such agreement with 30 days notice with or without cause.

INTRODUCED, READ AND ADOPTED by vote of 11 for and 0 against at a regular meeting of the City Council on January 23, 2006, at 7:00 o'clock p.m., at Lakewood Civic Center, 480 South Allison Parkway, Lakewood, Colorado.
