A RESOLUTION

APPROVING AND AUTHORIZING AN AGREEMENT BETWEEN THE CITY OF LAKEWOOD AND ROGER W. NOONAN TO PROVIDE LEGAL SERVICES FOR THE CITY OF LAKEWOOD

WHEREAS, the law firm of Gorsuch Kirgis LLP has notified the City Council that effective April 1, 2005, it will no longer be able to provide legal services for the City of Lakewood; and

WHEREAS, Roger W. Noonan, a partner in the law firm of Gorsuch Kirgis LLP, and, pursuant to the contract between the City and said firm, has been the City Attorney, for approximately twenty-four (24) years; and

WHEREAS, The City Council and Roger W. Noonan hereby intend he continue as the City Attorney, but, as a full time employee of the City, and they have negotiated an Employment Agreement which is attached hereto, designated as Exhibit "A," and is incorporated herein by reference; and

WHEREAS, said Employment Agreement also provides that certain other employees of said firm shall become employees of the City in order to continue to provide necessary legal services for the City; and

NOW THEREFORE BE IT RESOLVED by the City Council of the City of Lakewood, Colorado that:

SECTION 1. Roger W. Noonan is hereby appointed City Attorney and an Employment Agreement is hereby approved effective March 14, 2005. The Mayor is hereby authorized to execute, and the City Clerk to attest, the Employment Agreement between the City of Lakewood and Roger W. Noonan, providing for legal services to be performed for the City of Lakewood.

SECTION 2. The City Manager and Finance Director are hereby authorized to transfer any unencumbered appropriation balance for legal services, or portion thereof, between administrative departments or among funds in order to pay for legal services either through the City Attorney's Office or outside legal counsel.

INTRODUCED, READ AND ADOPTED by vote of 11 for and 0 against at a special meeting of the City Council on March 7, 2005, at 7:00 o'clock p.m., at Lakewood Civic Center, 480 South Allison Parkway, Lakewood, Colorado.
